These Terms of Service (“Terms”) govern your access to and use of porrittinc.com, NORMEX Standards AI, and any other Porritt Inc. product or service (“Services”). By using the Services, you agree to these Terms.
1. Eligibility and Accounts
You must be at least 18 years old and have authority to enter into these Terms on behalf of your organization. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
2. License Grant
Subject to your compliance with these Terms and any applicable order, Porritt grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes during the term of your subscription or trial.
3. Restrictions
You may not: (a) reverse engineer, decompile, or disassemble the Services except to the extent permitted by applicable law; (b) sublicense, rent, lease, or resell the Services without our written consent; (c) use the Services to develop a competing product; (d) circumvent usage limits, security mechanisms, or AI safety controls; (e) input Personal Health Information regulated by HIPAA, classified national security information, or content that infringes third-party rights.
4. Customer Content
You retain ownership of all content you upload, input, or transmit through the Services (“Customer Content”). You grant Porritt a limited license to process Customer Content solely as needed to provide the Services. Porritt does not use Customer Content to train AI models.
5. Standards and Engineering Outputs
NORMEX Standards AI generates outputs based on RAGAGEP and regulatory standards including OSHA 29 CFR 1910.119, EPA 40 CFR Part 68, and consensus standards from API, ASME, NFPA, ISA, NACE, AMPP, and ASNT. These outputs are intended as engineering aids. They do not replace the professional judgment of a qualified engineer. The end user is responsible for technical review and acceptance of all NORMEX outputs before use in any safety-critical decision. Nothing in NORMEX outputs constitutes a stamped engineering design or a regulatory determination.
6. Subscription, Fees, and Payment
Paid Services are billed per the order or marketplace listing under which you purchased. Fees are non-refundable except as required by law. We may suspend Services for non-payment after notice.
7. AI Outputs and Limitations
The Services use generative AI models. AI outputs may contain errors, omissions, or hallucinations. You agree to review all AI-generated content before relying on it. Porritt disclaims liability for any decision made in reliance on AI outputs without independent professional review.
8. Intellectual Property
Porritt retains all intellectual property rights in the Services, including the RAGAGEP-to-OSHA crosswalk, system prompts, NORMEX house style, and software code. The standards themselves (API, ASME, NFPA, OSHA, etc.) remain owned by their respective copyright holders.
9. Confidentiality
Each party agrees to protect the other's Confidential Information using reasonable measures and not to disclose it except as needed to perform under these Terms or as required by law.
10. Warranty Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PORRITT DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PORRITT'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS. PORRITT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
12. Indemnification
Each party will indemnify and defend the other against third-party claims to the extent caused by the indemnifying party's breach of these Terms or violation of applicable law.
13. Term and Termination
These Terms apply from your first use of the Services until terminated. Either party may terminate for material breach with thirty (30) days' written notice if not cured. Upon termination, your access ceases and any outstanding fees become due.
14. Governing Law and Venue
These Terms are governed by the laws of the State of Utah, USA, without regard to conflict-of-laws principles. Exclusive venue for any dispute is the state and federal courts located in Salt Lake County, Utah. Federal contracting matters are governed by applicable federal law, the FAR, and DFARS.
15. Export Control
You agree to comply with all applicable export control and sanctions laws (including the US EAR, ITAR, and OFAC regulations) in your use of the Services.
16. Changes
We may update these Terms from time to time. Material changes will be notified via email or website notice. Continued use after the effective date of an update constitutes acceptance.
17. Entire Agreement
These Terms, together with any order or marketplace listing terms, constitute the entire agreement between you and Porritt regarding the Services and supersede prior agreements on the same subject matter.
